1. Introduction

1.1 Overview: These end-user terms and condition (Terms) govern your access to and use of Peerpay Digital Asset Limited (RC‑1600947) ("PeerPay," "we," "us," or "our") Services, including our website (https://peerpaynetwork.com), APIs, Dashboard, and Widget (collectively, "Services").

1.2 Acceptance: By clicking "I agree," registering, or using any part of the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy (see Section 12). If you do not agree, you must not use the Services.

2. Definitions

2.1 Account Information: Your bank-account data, transaction history, e‑mandate and repayment details, and derived credit score.

2.2 Account Provider: The bank or financial institution through which the user accesses the peer pay service. Will be designated as the primary bank for the transaction.

2.3 PeerPay Network: The blockchain‑enabled automated financial commitment system platform.

2.4 Banks: Partnered financial institutions managing onboarding, KYC, and custodial services.

2.5 PeerPay Partner: Any bank, credit‑bureau, payment processor, or other third party we integrate with.

2.6 Services: Account-information retrieval, KYC, credit‑scoring, e‑mandate setup, direct‑debit execution, and related APIs and Dashboard.

2.7 User: Any individual, SME, corporation, institution, government, or diaspora entity using PeerPay.

2.8 E‑Mandate: User's electronic authorization permitting automated repayments via standing instruction/direct debit.

2.9 Guarantor: Third party(ies) who sign an e‑mandate to guarantee loan repayment for a borrower.

3. Eligibility

You may only use the Services if you:

  • Are at least 18 years old
  • Have an active Nigerian bank account
  • Provide accurate, complete, and up‑to‑date information
  • Agree to comply with these Terms and all applicable laws

4. Your Consent and Authorizations

4.1 Account Access & User Consent:

To access PeerPay's services, users interact with a secure widget embedded within their bank's mobile or web application. The bank through which you access the PeerPay widget is automatically designated as your Primary Bank for the purpose of using the PeerPay service. Before using the service, you will be presented with PeerPay's Terms and Conditions, which must be read and explicitly agreed to via a checkbox. You will also receive links to PeerPay's Privacy Policy and other relevant legal documents. Consent to these terms is required to proceed with the use of the platform. PeerPay does not operate a separate consent screen or standalone application. All access, authentication, and authorization take place within your bank's environment through the integrated PeerPay widget.

4.2 Data Sharing:

You consent that PeerPay Network may:

  • Display your Account Information on the Dashboard;
  • Share relevant encrypted data with with the Application Provider or third parties you've directed;
  • Aggregate or anonymize for analytics or reporting.

5. Service Description and Limitations

5.1 What We Provide:

  • Real‑time access to your bank data for credit‑advisory
  • Automated e‑mandate creation and direct‑debit repayments

5.2 No Warranty on Accuracy: PeerPay Network does not guarantee the accuracy, completeness, or timeliness of data from your Account Provider.

6. Transaction Fee

6.1 Fee Structure: PeerPay Network charges transaction fees for e‑mandate and direct‑debit Services. Fees vary based on transaction size and complexity. Exact fees are displayed before you confirm any transaction

6.2 Fee Changes: We may update fee bands or rates from time to time. Notice of material changes will be provided at least 14 days before implementation via email or Dashboard notification

7. Availability and Technical Variations

7.1 Variations: Service delivery may vary by device, Account Provider, or API partner.

7.2 Uptime: We strive for 99.9% uptime.

8. Liability and Disclaimer

8.1 Exclusions: To the fullest extent permitted by law, PeerPay Network is not liable for:

  • Inaccuracies in data from your Account Provider;
  • Losses from third‑party Applications;
  • Any indirect, incidental, or consequential damages.

8.2 Non‑excludable Obligations: Nothing excludes liability for fraud or any liability that cannot be excluded under Nigerian law.

9. Termination

9.1 By You: You may terminate by closing your account or withdrawing consent.

9.2 By PeerPay Network: We may suspend or terminate access immediately upon breach or with 30 days’ notice for other reasons.

9.3 Effect: Sections 4, 6, and 12, survive termination.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Parties will seek amicable settlement, then may pursue interim relief, mediation, or arbitration.

11. Private Policy

Our Privacy Policy explains how we collect, use, share, and protect your data (see Privacy Policy). Key points:

  • We collect data only with your consent.
  • We do not sell or rent your personal data.
  • You may access, correct, or delete your data by contacting security@peerpaynetwork.com

12. Electronic Communications

By using the Services, you consent to receive electronic communications from PeerPay Network (e.g., email, notifications). You may opt out of marketing communications but not service-related messages.

13. Intellectual Property

All content and trademarks on the Site and Dashboard are owned or licensed by PeerPay. You may not reproduce, distribute, or create derivative works without our prior written consent.

14. Miscellaneous

14.1 Severability: If any provision is held invalid, the remainder remains in force.

14.2 Waiver: Our failure to enforce a provision is not a waiver of rights.

14.3 Assignment: You may not assign these Terms without our consent; we may assign with notice.
